Terms of Use for Text2Cal mobile application and services.

Welcome to Text2Cal! These Terms of Use (“Terms”) govern your access to and use of the Text2Cal mobile application and related services (collectively, the “App”). By downloading or using Text2Cal, you agree to these Terms. If you do not agree, please do not use the App.

1. Service Overview

Text2Cal (“we,” “us,” or “our”) is an AI-powered calendar assistant. The App allows you to input natural language text and converts it into structured calendar events. Key features of Text2Cal include:

  • AI Event Creation: Our AI/ML algorithms interpret your text and generate event details (title, date, time, location, etc.). Please note that while we strive for accuracy, the AI predictions may not be perfect and you should verify important details. We do not guarantee the AI’s output will be error-free or suitable for all purposes – use your own judgment for critical events.
  • Calendar Integration: You can connect the App to third-party calendar services (e.g., Google Calendar, Apple Calendar, Outlook) to sync events. Integration requires your permission; you are responsible for complying with those services’ terms when syncing. We are not responsible for any issues arising from the third-party calendar providers.
  • Freemium Model: Text2Cal offers a free tier and premium subscriptions. By default, free users can create 1 event extraction per day. Premium subscribers enjoy unlimited extractions and additional features as described in the App.

2. Eligibility and Accounts

Text2Cal is available globally to users of all ages. However, if you are under the age of 13, or under the minimum age required by laws in your jurisdiction to form a binding contract, you must use the App under the supervision of a parent or legal guardian. We comply with the Children’s Online Privacy Protection Act (COPPA), which imposes requirements if we knowingly collect personal data from children under 13 . Our service is not directed to children under 13, and we do not knowingly allow such children to create accounts or provide personal information without parental consent. If we learn that we have collected personal data from a child under 13 without verification of parental consent, we will delete that information.

To use certain features, you must create a Text2Cal account via our authentication partner (Clerk). Account Registration: You agree to provide accurate, current information (such as a valid email) and to keep it updated. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Account Security: Do not share your password or allow others to access your account. If you suspect unauthorized use, notify us immediately. We are not liable for any loss or damage from unauthorized account use.

3. Subscription Plans and In-App Purchases

Text2Cal’s core service can be enhanced via in-app purchases (“IAPs”), including premium subscription plans. Our App is distributed through the Apple App Store and Google Play Store, which handle all payment processing. By making an in-app purchase, you also agree to comply with Apple’s or Google’s payment terms and policies for IAPs (including their no-refund policies) .

Subscription Tiers: We offer the following premium options (prices in USD):

  • Monthly Subscription: $2.99 per month, renews automatically each month.
  • Annual Subscription: $19.99 per year, renews automatically each year.
  • Lifetime Access: One-time payment of $49.99 for lifetime premium access (no renewal).

Free tier users are limited to 1 AI event extraction per day, whereas subscribers enjoy unlimited event extractions and other benefits as described in the App. All prices and features of plans are subject to change, but if we change pricing for a renewing plan, we will provide notice and the change will apply to the next billing cycle.

Auto-Renewal and Billing: If you purchase a monthly or annual subscription, it will auto-renew by default at the end of each billing period (monthly or yearly, as applicable) unless you cancel at least 24 hours before the period ends . Your account will be charged for renewal within 24 hours prior to the end of the current period, at the same price (unless we have informed you of a price change in advance)  . By subscribing, you authorize the App Store or Google Play to charge your on-file payment method for the recurring subscription fee, plus any applicable taxes.

Managing and Cancelling Subscriptions: You can manage or cancel your subscription at any time through your Apple or Google account settings. For Apple App Store: go to your device’s Settings > [Your Name] > Subscriptions and select Text2Cal to cancel or change. For Google Play Store: go to Play Store > Menu > Payments & Subscriptions > Subscriptions and select Text2Cal to cancel. When you cancel, the cancellation takes effect at the next billing cycle – you will retain access to premium features until the current paid period ends . No further charges will be made after cancellation. Note: Deleting the Text2Cal app alone does not cancel your subscription; you must cancel through the App Store/Play Store to stop auto-renewal .

Free Trials: Text2Cal currently does not offer a free trial period beyond the free tier’s daily usage. If we introduce free trials in the future, details (trial duration and conversion to paid subscription) will be provided. Generally, if a free trial is offered and you do not cancel before it ends, your account will be charged the subscription fee at trial expiration. Any unused portion of a free trial is forfeited upon purchase of a subscription.

Payment and Refunds: All payments for in-app purchases are processed by Apple or Google via your store account. Payment is charged at the time of purchase confirmation. All sales are final. We do not offer refunds or credits for partially used subscription periods, except where required by law or expressly permitted by the App Store/Play Store policies . For example, if content is defective or as otherwise provided under Google’s or Apple’s refund policy, you may request a refund through the respective store. If you believe you were charged in error, please contact Apple Support or Google Play Support (depending on where you purchased) as they handle billing issues for in-app purchases.

European Union/UK Customers: If you are an EU or UK consumer, you may have a legal 14-day right of withdrawal for new subscription purchases or renewals . This means within 14 days of starting a subscription or renewing, you can cancel and request a refund without giving a reason, by contacting the platform from which you purchased (Apple or Google) and stating you wish to exercise your statutory withdrawal right. Important: If you begin using the subscription features (for example, by creating unlimited events) during that 14-day period, you may be deemed to have waived or limited this right to withdraw, as the service starts immediately upon purchase. Any refunds granted for EU/UK users will follow the respective store’s policies and applicable law .

Taxes and Fees: Subscription fees are stated in USD and may not include any applicable taxes or currency conversion fees. You are responsible for any sales, use, VAT, or similar taxes that may apply to your purchases. These may be charged by the app stores as required by local law.

4. User Conduct and Acceptable Use

We expect users to use Text2Cal responsibly and ethically. You agree that you will NOT:

  • Use the App for unlawful, harmful, or prohibited activities. This includes not using Text2Cal to plan or facilitate any illegal acts or to violate any applicable laws or regulations.
  • Misuse the AI service or outputs. You will not input content that is unlawful, hateful, harassing, defamatory, obscene, or invasive of privacy. You also agree not to rely on Text2Cal for any purpose where erroneous data could result in harm (for example, critical medical or legal scheduling) – we provide no professional advice or guarantees of accuracy.
  • Abuse Premium Features or System Resources. For instance, you may not share access to premium-only features with those who have not paid, attempt to bypass the daily free limit by creating multiple accounts, or use automated scripts to call the service excessively . We reserve the right to enforce usage limits and prevent abuse of the service.
  • Interfere with the App’s functioning or security. Do not attempt to introduce viruses, malware, or any code that could harm the App or users’ devices. You must not try to gain unauthorized access to our systems or data, probe for vulnerabilities, or disrupt our servers. Any attempt to “spread malware or otherwise attempt to damage our service” is strictly prohibited .
  • Infringe on others’ rights. You will not use Text2Cal to transmit content that infringes any intellectual property or privacy rights of others. Do not submit text that contains others’ personal data without permission, or any material you do not have the right to use. You remain solely responsible for the content you provide and the events you create.

We reserve the right to investigate and take appropriate action (including suspension or termination of accounts) for any violations of the above. Prohibited behavior may also result in legal consequences under applicable law.

5. User Content and Intellectual Property

Your Content: Using Text2Cal involves submitting text (event details, notes, etc.) which our AI processes, and also creating calendar events (“User Content”). We do not claim ownership over your User Content – the text and events you provide remain yours. However, by using the App, you grant Text2Cal a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, and process your content for the purpose of providing and improving our services. This license is only to allow our AI and systems to parse your input and create calendar events, and to store those events or related data as needed to sync with your calendars or for your later retrieval. We will handle your content in accordance with our Privacy Policy (see below), which outlines how we collect, use, and protect your personal data.

You represent and warrant that you have the rights to any content you input into Text2Cal and that such content does not violate any laws or rights of third parties. Do not provide any text that contains sensitive personal data (like health or financial information) unless necessary, and understand that any data you provide will be processed by AI which may involve third-party AI service providers (as detailed in our Privacy Policy).

Our Intellectual Property: Unless otherwise indicated, Text2Cal and all content, software, code, designs, logos, trademarks, and materials provided in the App are owned by us or our licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use Text2Cal for your personal, non-commercial use, in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of our App or included content, nor may you reverse engineer or attempt to extract the source code of our software, except as permitted by law. All rights not expressly granted to you are reserved by Text2Cal and its licensors.

This means, for example, you are not allowed to reproduce the Text2Cal software or create derivative works from our app’s code or content. The “Text2Cal” name and logos are our trademarks/service marks. You may not use them without our prior written permission.

6. Privacy

Your privacy is very important to us. Our collection and use of personal information in connection with the App is described in our Privacy Policy (see the Privacy Policy section below). We encourage you to read the Privacy Policy carefully to understand how we handle your data. By using the App, you also agree to the practices outlined in the Privacy Policy.

Keep in mind that by using Text2Cal, you consent to the transfer and processing of your information in the United States and other countries where we or our service providers operate. If you do not agree to our data practices, please do not use the App. For more details, see the Privacy Policy, which covers what data we collect, how we use it, and how we protect it .

7. Disclaimer of Warranties

Text2Cal is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties of any kind, express or implied, regarding the App and its services. This includes, but is not limited to:

  • No Warranty of Accuracy or Fitness: We do not guarantee that the AI-generated calendar entries or any results from using the App will be accurate, reliable, or suitable for your needs. The App’s content is for convenience and informational purposes; you should not rely solely on it for critical scheduling without verification. You assume all risk for any actions you take based on information provided by Text2Cal.
  • Service Availability: We do not warrant that the App will be uninterrupted, timely, secure, or error-free. There may be occasional outages, delays, or errors (for example, if third-party calendar APIs are down or if our AI service encounters an issue). We are not responsible for any harm that might arise from such technical problems.
  • Implied Warranties: Any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement are expressly disclaimed. We make no promises that the App will meet your requirements or expectations. It is your responsibility to determine whether Text2Cal is suitable for your intended use.

Some jurisdictions do not allow the disclaimer of certain warranties, so some of the above disclaimers may not apply to you. In such cases, the scope and duration of any applicable warranty will be the minimum permitted under applicable law.

8. Limitation of Liability

To the maximum extent permitted by law, Text2Cal and its developers, owners, affiliates, and partners will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, revenues, data, or use, incurred by you or any third party, arising out of or related to your use of (or inability to use) the App or its services.

In no event shall our total cumulative liability for any claims arising in connection with the App exceed the amount you paid to us (if any) for the service in the 12 months preceding the event giving rise to the liability . For users on the free tier, our total liability shall not exceed $50.00 (USD) or the minimum amount permitted by law. This limitation applies to all causes of action, whether in contract, tort, strict liability, or otherwise, and whether or not we have been advised of the possibility of such damages.

For example, we are not liable for any missed appointments, scheduling conflicts, damages to your device, or any other consequences resulting from the use of Text2Cal. You use the App at your own discretion and risk. If you are dissatisfied with the service, your sole remedy is to stop using it or, if you are a paying subscriber, to cancel your subscription as allowed by these Terms.

Exceptions: Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you. In such jurisdictions, our liability will be limited to the fullest extent permitted by law. These limitations are not intended to deprive you of any mandatory protections (for instance, certain consumer rights under law) – we are simply stating that we are not assuming liability beyond what the law requires.

9. Indemnification

You agree to indemnify, defend, and hold harmless Text2Cal and its officers, directors, employees, agents, and partners from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) that arise from or relate to: (a) your use or misuse of the App; (b) your violation of these Terms; (c) your violation of any law or regulation or any right of a third party (for example, if you input content you have no right to use, or if you use the App to engage in unlawful activity). We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. If we do, you agree to cooperate with our defense of such claim.

10. Account Termination

These Terms are effective unless and until terminated by either you or us. You may stop using Text2Cal and terminate these Terms at any time by deleting your account (available via the App’s account settings) and discontinuing use of the App. If you delete your account, we will delete or de-identify your personal data as described in our Privacy Policy, subject to any legal retention requirements.

We may suspend or terminate your access to the App (including any subscription) at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to: (i) your breach of any provision of these Terms or our Privacy Policy; (ii) extended periods of inactivity; (iii) your non-payment of subscription fees (if applicable); (iv) our decision to discontinue the App or a particular feature. If we terminate your subscription without cause, we may provide a pro-rata refund for the remaining period of any prepaid subscription. If termination is due to your violation of these Terms, you will not be entitled to any refund.

Upon any termination of your rights under these Terms, your license to use the App will cease, and you must stop all use of Text2Cal. Sections of these Terms that by their nature should survive termination (such as Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, etc.) will survive.

11. Governing Law and Dispute Resolution

Governing Law: These Terms and any dispute arising out of or relating to these Terms or the use of the App will be governed by and construed in accordance with the laws of the State of Israel (for example) or the laws of your country of residence if mandatory consumer protection laws apply, without regard to its conflict of law principles . We are based in [Israel], and choosing Israeli law ensures a consistent legal framework for our operations. (If you are an EU consumer, you may have the protection of mandatory provisions of the law of your country of residence under EU law.)

Jurisdiction: You agree that any dispute or claim arising out of these Terms shall be submitted to the exclusive jurisdiction of the courts located in [Tel Aviv, Israel] (or the appropriate courts in the jurisdiction we designate), except where prohibited by applicable law. This means any legal action must be brought in that location, and you consent to personal jurisdiction in that forum .

Dispute Resolution; No Class Actions: We encourage you to contact us first to attempt to resolve any concerns by informal means. If informal resolution fails, and unless prohibited by law, you and Text2Cal agree that any dispute will be resolved only on an individual basis, and not in a class, consolidated, or representative action. You hereby waive any right to participate in any class action lawsuit or class-wide arbitration against us. [If we later include an arbitration clause or specific dispute resolution mechanism, it would be described here – currently, disputes will be handled in court as stated above.]

12. Miscellaneous

•	Changes to Terms: We may update or modify these Terms from time to time. If we make material changes, we will notify users through the App or by other means (e.g., posting a notice on our website) and update the "Last Updated" date at the top. Continued use of Text2Cal after any changes indicates acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the App. We encourage you to review the Terms periodically .
•	Severability: If any provision of these Terms is held to be invalid or unenforceable by a competent court, that provision will be enforced to the maximum extent permissible and the remaining provisions of the Terms will remain in full force and effect.
•	No Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. Any waiver must be in writing and signed by our authorized representative.
•	Assignment: You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, sale of assets, or by operation of law.
•	Entire Agreement: These Terms (and any additional terms, such as subscription terms within the App) and the Privacy Policy constitute the entire agreement between you and Text2Cal regarding the App, and supersede all prior agreements or understandings (whether written or oral) relating to the same subject matter.
•	Language: These Terms are provided in English. If we provide a translation of these Terms, the English version will prevail in case of any conflict. All communications with us shall be in English.
